INTRODUCTION

Welcome to our website. These General Terms and Conditions of Sale (GTC) govern all transactions made on this site by professional customers (B2B). The site is operated by Air-Qualitee (V Plus Habitat GmbH), located at Untermüli 11, 6300 ZUG, Switzerland and can be contacted via email at info@air-qualitee.com.

SCOPE

These terms apply to all sales of products made through our website. By placing an order, you unreservedly accept these GTC and acknowledge that you have reviewed the necessary information before confirming your purchase. These GTC take precedence over any other document or conditions originating from you.
 

These Terms apply to all B2B commercial engagements and digital interactions across all operational markets: Israel, Switzerland, Germany, France, Belgium, and Poland.

They cover our service categories and by placing an order or using our services, the Client agrees to these Terms entirely.

SERVICE OFFERED

V-Plus Habitat GmbH provides B2B solutions in the fields of:

  • Indoor air quality monitoring and purification (Air-Qualitee brand)

  • Hygiene and sterilization technologies (Smart Hygiene brand)

  • ESG reporting and compliance consulting

Services may be offered online, on-site, or as integrated technology solutions. Specific contractual terms may apply per engagement.

CLIENT OBLIGATIONS

The Client agrees to:

  • Provide accurate information necessary to tailor services to their site and industry.

  • Cooperate with setup, access, and onboarding when using reporting or bundled solutions.

  • Maintain confidentiality of access credentials and comply with platform use policies.

  • Not reverse-engineer or commercially exploit any component or digital content.

  • Adhere to applicable national and international compliance and safety standards.

  • The Client agrees to provide accurate, lawful, and complete information.

  • The Client is responsible for maintaining confidentiality of login credentials for any digital platforms provided by V-Plus Habitat GmbH.

Failure to meet obligations may delay or suspend delivery without penalty to V-Plus.​

ORDER PROCESS AND CONTACT FORMATION

  • All quotes are non-binding until accepted in writing or digitally by both parties.

  • Orders are confirmed via signed agreements, purchase orders, or platform onboarding.

  • Project scopes and deliverables are detailed in annexes or service-specific terms.

  • V-Plus reserves the right to decline engagements that fall outside our technical or compliance framework.

PRICES AND PAYMENT TERMS

  • Prices are exclusive of VAT, customs duties, or any applicable local taxes unless otherwise stated.

  • Payment terms are generally net 14 or net 30 days, depending on the service agreement.

  • Late payments incur interest and collection fees as permitted by applicable law.

  • Pricing is bespoke, designed for each Client’s selected service(s), and may vary based on scope, volume, and country.

  • All commercial discussions take place exclusively between V-Plus management and the Client; financial terms are strictly confidential and must not be disclosed to third parties.

DELIVARY, ACCESS AND IMPLEMENTATION

  • Delivery terms follow Incoterms (e.g., EXW, DAP) as defined in individual contracts.

  • For software and reporting services, access is provisioned after setup and onboarding.

  • Physical installation is carried out by V-Plus or certified partners as agreed.

  • Delays due to force majeure or third-party failures do not constitute a breach of contract.

RETURN AND REFUNDS

Returns are accepted under the conditions specified in the order confirmation. Returned products must be in perfect condition and in their original packaging. Returns are the responsibility of the customer, unless otherwise specified. Refunds will be made after verification of the returned products. The refund will be made via the same payment method used for the purchase.

LIMITATIONS OF LIABILITY

We cannot be held responsible for indirect damages, loss of profits, or any other harm resulting from the use of the products or non-compliance of the products with the customer’s expected specifications. Total liability for any direct damage is limited to the amount paid by the customer for the products in question.

INTELLECTUAL PROPERTY

All content on this site, such as texts, images, and logos, is protected by intellectual property laws. Any unauthorized reproduction or use of the content is strictly prohibited. You are granted a limited license to use the site for the purpose of placing orders. Any use not in accordance with these GTC may result in sanctions, including suspension of the account.

DATA PROTECTION

  • V-Plus adheres to the EU GDPR, Swiss Federal Data Protection Act, and Israeli Privacy Protection Law.

  • Clients grant V-Plus the right to process environmental and operational data solely for the purpose of delivering contracted services.

  • Both parties agree to maintain the confidentiality of business-sensitive information during and after the engagement.

  •  You have the right to access, modify, and delete your personal data.

GOVERNING LAW AND JURISDICTION

These GTC are governed by Swiss law. Any dispute related to these terms will be subject to the exclusive jurisdiction of Swiss courts. The parties will make every effort to settle any dispute amicably before taking legal action.

MODIFICATIONS TO THE TERMS

We reserve the right to modify these GTC at any time. You will be informed of these changes by email or via our website. The changes will apply to all orders placed after they are posted online.

FORCE MAJEURE

Air-Qualitee and V Plus Habitat GmbH cannot be held responsible for the total or partial non-performance of their obligations in the event of a force majeure event (war, natural disaster, pandemic, interruption of telecommunications networks, etc.).
